1. Introduction

These Terms and Conditions (“Terms”) govern your participation in the World Wide Lucha League (WWLL) NFT project, including all related activities, utilities, and prize giveaways. By participating, you agree to these Terms in full. If you do not agree with any part of these Terms, you should not participate in the WWLL project.Samiverse Inc., the parent company overseeing the WWLL project, is established in the state of Delaware and operates from Austin, Texas.

2. Definitions

For the purposes of these Terms:

• “NFT” refers to a non-fungible token.
• “Participant” refers to any individual who purchases or holds a WWLL NFT.
• “WWLL” refers to the World Wide Lucha League.
• “Samiverse Inc.” refers to the parent company overseeing the WWLL project.

3. Eligibility

Participation is open to individuals who are at least 18 years old and have the legal capacity to enter into binding agreements. Employees, officers, directors, and agents of Samiverse Inc. and its subsidiaries, affiliates, and advertising/promotional agencies, as well as their immediate family members and household members, are not eligible to participate. To be eligible for prizes, participants must have purchased one of our NFTs; recipients of free NFTs are not eligible.

4. NFT Purchases and Prizes

• Ringling Bros. and Barnum & Bailey Circus Tickets: All primary buyers who mint within (72) hours of the drop, will be entered into a drawing to win two (2) tickets. One winner will be chosen. The event is on August 24, 2024. Winners will be picked within 10 days of mint end. Tickets will be sent within one week of winners submitting their claiming form.
• Missy Elliot Concert Tickets: All primary buyers who mint within  (72) hours of the drop, will be entered into a drawing to win two (2) tickets. One winner will be chosen. The event is on July 11, 2024. Winners will be picked within 10 days of mint end. Tickets will be sent within one week of winners submitting their claiming form.
• Ugonzo Custom Art! To be eligible for the Ugonzo custom art giveaway, participants must purchase three (3) or more $39 NFTs in the primary sale and still hold them at 12 PM ET on August 15th 2024 in their Crypto.com NFT wallet. Two winners will be chosen at random amongst the eligible holders and will receive a form via email to claim their prize. WWLL reserves the right to modify, suspend, or discontinue this giveaway at any time without prior notice.
• WWLL Muscle T-Shirts: Once we’ve minted a minimum of 2,000 NFTs, the first 50 buyers will receive a free muscle shirt. The first 50 buyers of mint will receive FREE WWLL muscle t-shirts signed by the artists. Shirts will be shipped to winners within sixty (60) days of mint. (Only one size shirt available and only USA participants eligible)
• Luca Character Drop: All primary buyers will be entered into a drawing to win one of ten (10) “Luca” character NFTs, which will be the next drop in the series. These NFTs will be airdropped to winners upon mint, which is currently planned to happen within ninety (90) days of this current mint and is subject to change.
• Weekly Prizes: All prizes, challenge details, and the frequency of challenges are subject to change at the discretion of WWLL. WWLL reserves the right to modify, suspend, or discontinue any aspect of the challenges and prizes at any time without prior notice.
• La Familia Status: Holders of both mint #1 and mint #2 without selling will receive the remaining FIVE (5) WWLL characters absolutely FREE. Eligible holders will be airdropped each NFT when they mint throughout 2024 and 2025.

5. Health and Safety Disclaimer

By participating in any physical, social, or mindfulness activities associated with the WWLL project, you acknowledge and agree that:

• You are voluntarily participating in these activities.
• You are physically fit and have no medical condition that would prevent your participation.
• You assume all risks associated with these activities, including but not limited to physical injury or harm.

Samiverse Inc. and WWLL are not responsible for any injuries, health problems, or other damages that might result from your participation in these activities.

6. NFT Purchase Requirement

To participate in the WWLL project and be eligible for prizes, an NFT purchase is required. Only those who have purchased the relevant NFTs will be eligible to enter prize drawings and receive rewards.

7. Prize Conditions

• Prizes are non-transferable and non-exchangeable.
• Prizes must be accepted as awarded and cannot be substituted or redeemed for cash.
• Winners are responsible for any taxes or fees associated with prize receipt and/or use.

8. Winner Notification

Snaphots of buyer orders processed will be completed by Crypto.com (24) hours after the mint has ended. The potential Prize Winners will be notified by email (a “Winner Notification”) on or about one (1) week after the mint date and may be required to execute and return an affidavit of eligibility, a liability release, a W-9 form, if applicable, and, where lawful, a publicity release within the time period specified in such notification.

If Winner Notification or other Sweepstakes communication is rejected or returned as undeliverable, if the potential Prize Winner cannot be reached after a reasonable attempt has been made by WWLL (as determined by WWLL in its sole discretion), or if the potential Prize Winner fails to respond to a Winner Notification and/or to sign and return all documentation (if required) within the time periods set forth herein, the prize will be forfeited and an alternate winner may be randomly selected in WWLL’s sole discretion. WWLL may only look to three (3) alternate winners for the Prize, at which point the Prize may be deemed unclaimed and WWLL will have no further obligation with respect to the Prize. WWLL reserves the right to modify the timing, selection, and notification procedures in connection with the selection of any alternate potential Prize Winner. If legitimately claimed in compliance with these Official Rules, the Prize will be awarded. To claim the Prize, the potential Prize Winner must follow the directions in their Winner Notification.

9. Max (4) NFTs per Wallet

Participants are limited to a maximum of four (4) NFTs per wallet for this particular mint.

10. Compliance with Laws

Participants must comply with all applicable laws and regulations in their jurisdiction.

11. Intellectual Property

All content related to the WWLL project, including but not limited to logos, trademarks, and artwork, are the property of Samiverse Inc. and are protected by applicable intellectual property laws.

12. Limitation of Liability

To the fullest extent permitted by law, Samiverse Inc. and WWLL, including their officers, directors, employees, and agents, shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the WWLL project.

13. Indemnification

Participants agree to indemnify and hold harmless Samiverse Inc. and WWLL from any claims, damages, or expenses arising from their participation in the project.

14. Privacy

Any personal information collected in connection with the WWLL project will be used in accordance with our Privacy Policy. By participating, you consent to the collection and use of your personal information for the purposes of administering the project and awarding prizes.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding related to your participation in the WWLL project shall be brought exclusively in the courts of Delaware.

16. Force Majeure

Samiverse Inc. and WWLL are not liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, or other unforeseen circumstances.

17. Severability

If any part of these Terms is found to be unenforceable, the remainder will remain in full force and effect.

18.Changes to Terms

Samiverse Inc. reserves the right to modify these Terms at any time without prior notice. Your continued participation in the WWLL project constitutes acceptance of any such modifications.

19. Specificity to Current Mint

These terms are specific to this particular NFT mint and do not apply to any other future mints or drops.

21. User Generated Content (UGC)

By participating in WWLL activities, you grant WWLL the right to use any UGC (including text, photos, videos, and other media) you create and share in our marketing efforts, without further consent or compensation.
